  3. Clinic rent agreement: registration and what to check

Compliance

Clinic rent agreement: registration and what to check Section 17 of the Registration Act, 1908, stamp duty by State, and the clauses a clinic needs.

The rent agreement for a clinic gets signed in a hurry, usually on a template meant for a flat. It is also the document the shop and establishment inspector, the fire officer, the bank and the landlord's family will each read later. Two things decide how much it protects you: whether it is registered when the law says it must be, and whether it says the premises may be used as a clinic.

In short
  • Section 17(1)(d) of the Registration Act, 1908 makes registration compulsory for "leases of immovable property from year to year, or for any term exceeding one year, or reserving a yearly rent". A lease of one year or less is optional to register (section 18(c)).
  • An unregistered lease that had to be registered cannot affect the property or be received as evidence of the transaction (section 49), with narrow exceptions. Present it for registration within four months of signing (section 23).
  • Stamp duty and registration fees are fixed by each State. Check the rate on your State registration department's site before you fix the term.

If the clinic lease is for more than one year, runs from year to year, or reserves a yearly rent, it must be registered with the Sub-Registrar under section 17(1)(d) of the Registration Act, 1908. A lease for one year or less may be registered but need not be (section 18(c)). Stamp duty is a separate State levy and the rate differs from State to State, so the cost of a three-year clinic lease in Lucknow and in Pune will not be the same.

When must a clinic lease be registered?

Section 17(1) lists the documents that "shall be registered". Clause (d) is "leases of immovable property from year to year, or for any term exceeding one year, or reserving a yearly rent". Section 18 lists what may be registered, and clause (c) there is "Leases of immovable property for any term not exceeding one year".

The 11-month agreement is common because it avoids compulsory registration. For a clinic it has a cost: the doctor is renegotiating every year after spending on fit-out, signage and registrations tied to that address. Weigh that against the stamp duty and registration fee for a longer term in your State.

The Act we read is the copy on the Uttarakhand e-registration portal, which carries State amendments in other sections (section 50, for example, refers to a U.P. amending Act). Your State may have its own amendments, so ask the Sub-Registrar's office whether anything has been added to section 17 where your clinic is. A lease with a renewal option can raise the question of what the real term is; put that question to your lawyer.

What happens if a lease that needed registration is not registered?

Section 49 says no document required by section 17 to be registered shall "(a) affect any immovable property comprised therein" or "(c) be received as evidence of any transaction affecting such property" unless it has been registered. The proviso allows such a document as evidence of a contract in a suit for specific performance, as evidence of part performance under section 53A of the Transfer of Property Act, 1882, or "as evidence of any collateral transaction not required to be effected by registered document".

In plain terms, a three-year clinic lease left unregistered is a weak paper if the landlord wants the premises back early or a buyer of the building disputes your tenancy. Section 23 gives four months from the date of execution to present a document for registration, so the window closes quickly.

How much is the stamp duty?

Stamp duty on a lease, and the registration fee, are set by each State's stamp law and registration rules, usually by the length of the term and the rent and deposit. We have not quoted figures because they differ by State and change by notification. Your State's Inspector General of Registration or registration department publishes the current rates. Pay the duty the State's schedule asks for at the time of signing.

What should a clinic rent agreement say?

Beyond rent and term, a clinic needs the agreement to support the licences that come after it. At most new clinics the same document is attached to the shop and establishment registration, the clinical establishment application in States that require one, the bio-medical waste authorisation and the bank account opening.

  1. Permitted use: the premises may be used as a medical clinic or OPD, by name. A residential-use clause can make later licences hard to get; whether a clinic may run in a residential building is decided by your local authority's rules, so check them before signing.
  2. Exact description: floor, unit number, carpet area and address as they appear in the property tax record, so every application shows the same address.
  3. Landlord's consent for fit-out, a signboard, a ramp, plumbing for a wash basin in the consultation room, and power backup.
  4. Rent, deposit and escalation as separate figures; who pays maintenance, property tax, water and electricity; and that rent is paid after TDS where the Income-tax Act requires it.
  5. Lock-in and notice periods for both sides, and what happens to fit-out on exit.
  6. Consent for the landlord's documents to be used for licences (ownership proof, NOC), and a duty to sign forms the authorities ask for.
  7. Who the tenant is: the doctor personally, the partnership firm or the company. It should match the entity that holds the licences and the bank account.

TDS on the rent itself is covered in our post on TDS on clinic rent, and the shop and establishment registration that usually needs this agreement is in our post on shop and establishment licence for clinics.

What to check before you sign

  • The person signing as landlord owns the premises, or holds a power of attorney you have seen.
  • No existing lease, loan or dispute on the unit that the owner has not disclosed.
  • The State's stamp duty for the term you want, and whether the Sub-Registrar needs both parties present.
  • Whether the local authority allows a clinic at that address and floor.
  • The draft has been read by your lawyer, not only the broker.

Questions

Is an 11-month clinic rent agreement valid without registration?

A lease for a term not exceeding one year is optional to register under section 18(c) of the Registration Act, 1908, so an 11-month lease does not need registration under that Act. Stamp duty under your State's stamp law still applies.

What is the time limit to register a lease?

Section 23 of the Registration Act, 1908 says a document other than a will must be presented to the proper officer within four months from the date of its execution, subject to sections 24 to 26.

Should the lease be in the doctor's name or the clinic's?

In the name of whoever runs the clinic: the doctor for a proprietorship, the firm for a partnership, the company for a private limited company. It should match the name on the licences and the bank account.
